1. Acceptance of Terms

Welcome to HK CoSec AI. By accessing or using our platform, website, and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and us. We may update these Terms from time to time, and your continued use of the services after any changes constitutes acceptance of the revised Terms.

2. Description of Service

HK CoSec AI provides a cloud-based company secretarial and compliance management platform for Hong Kong companies. Our services include:

• Statutory compliance management (NAR1 annual returns, business registration renewals, SCR register maintenance).
• AI-powered document generation, analysis, and form-filling assistance.
• Government letter review and action recommendations.
• Compliance deadline tracking and reminder notifications via email and Telegram.
• Team collaboration and multi-company management tools.
• Commercial agreement and document vault management.
• Integration with Telegram for reminder notifications.

3. User Accounts

To access our services, you must create an account using a valid email address or Google Sign-In. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must provide accurate and complete information when creating your account and keep your information up to date. You must be at least 18 years old to create an account. You may not share your account credentials with others or use another person's account.

4. Subscription Plans and Billing

We offer subscription plans on a recurring annual basis. Details of current plans, pricing, and features are available on our platform. A free trial may be offered for a limited period, after which your selected subscription plan will apply.

• Billing: Subscription fees are billed annually in advance in Hong Kong Dollars (HKD).
• Trial: If a free trial is offered, your subscription will begin automatically at the end of the trial period unless cancelled.
• Auto-Renewal: Subscriptions auto-renew at the end of each billing cycle unless cancelled before the renewal date.
• Refunds: Refund requests are evaluated on a case-by-case basis in accordance with our refund policy.
• Price Changes: We may change subscription fees with reasonable advance notice. Existing subscriptions will renew at the new rate after the current billing cycle.
• Account Lock: Accounts with failed payments may be subject to suspension or limited access after a grace period.

5. Acceptable Use Policy

You agree not to use our services to:

• Violate any applicable Hong Kong or international law or regulation.
• Infringe upon the intellectual property rights, privacy, or other rights of any party.
• Upload or transmit viruses, malware, or other malicious code.
• Attempt to gain unauthorized access to our systems, accounts, or data.
• Interfere with or disrupt the services or servers used to provide the services.
• Use the services to store or transmit unlawful, defamatory, or fraudulent content.
• Reverse engineer, decompile, or disassemble any part of the platform.
• Use the services for any unauthorized commercial purpose or to compete with us.

6. Intellectual Property Rights

The platform, including its design, software, features, and content, is owned by HK CoSec AI and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the platform without our prior written consent.

Government forms, templates, and official documents available through the platform remain the property of their respective government departments and are used in accordance with applicable regulations.

7. User Content and Data

You retain ownership of all company information, documents, and data you upload to or generate through the platform ('User Content'). You grant us a limited license to use, process, and store your User Content solely for the purpose of providing and improving our services.

You are responsible for the accuracy and legality of your User Content. You represent that you have the necessary rights to upload and process any data you submit to the platform, including personal data of directors, shareholders, and other individuals.

8. Privacy and Data Protection

Our collection, use, and protection of your personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the data practices described in our Privacy Policy.

9. Disclaimer of Warranties

Our services are provided on an 'as is' and 'as available' basis without warranties of any kind, whether express or implied. We do not warrant that the services will be uninterrupted, error-free, or secure, or that any particular result will be achieved.

While we use AI-assisted tools for document analysis and form preparation, we do not guarantee the accuracy or completeness of AI-generated content. You are responsible for reviewing and verifying all documents before submission to government authorities.

We are not a law firm and our services do not constitute legal advice. You should consult qualified legal professionals for specific legal matters.

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of or inability to use our services.

Our total aggregate liability for any claim arising from these Terms or your use of the services shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your use of the services, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

You may cancel your subscription or close your account at any time through the platform settings. We may suspend or terminate your access to the services if you breach these Terms, fail to pay subscription fees, or if we determine that your use poses a risk to our platform or other users.

Upon termination, your right to use the services will cease immediately. We will retain your data for a reasonable period to allow for data export, after which it may be deleted in accordance with our Privacy Policy and legal retention requirements.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the Hong Kong courts.

14. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the 'Last updated' date. Your continued use of the services after the effective date of any changes constitutes acceptance of the revised Terms.
